By-Laws

Article 1 – Mission
ALATAP is an international organization dedicated to the prevention and mitigation of targeted violence throughout Latin America through the application of the best practices of behavioral threat assessment and management.

Article 2 – Foundational Documents
The Organization’s Articles of Incorporation (Acta Constitutiva) are registered in Mexico City, Mexico. These By-Laws have been established to establish document the mandates of the organization but are not intended to provide direction for process and procedure. A copy of the By-Laws will be held by the Founder designated as Secretary and are to be provided to any member in good standing upon request and at no charge. By-Laws will be maintained in three languages, Spanish, Portuguese, and English.

Article 3 – Objectives
ALATAP works towards the following goals:
A. To gather for the purpose of professional development, education, and networking opportunities.
B. To promote research on effective threat assessment and management.
C. Provide continuing education on the topic of threat assessment and management.
D. Sponsorship of conferences and training on threat assessment and management.
E. Provide ethical guidelines on threat assessment and case management.
F. To engage in any other activities which support the mission and purpose of the organization as deemed appropriate by the organization Board of Directors.

Article 4 – Organization
The bodies of the association are:
A. Founders
B. Governing Board.
C. General Membership

Article 5 – Means and Resources
The means to realize organization´s goals are composed of:
â–Ş Membership fees.
â–Ş Donations.
â–Ş Conference and workshop admission fees.
â–Ş Other proceeds.

Article 6 – Governance
ALATAP is governed by a group of founders who are identified in the organization´s Acta Constitutiva. The Founders will establish a standardized process for designating a governing Board of Directors whose responsibility will be to support the founders in the day-to-day administration and operations of the organization. The creation of governing board positions will be accompanied by position descriptions which articulate the scope and responsibilities of each position. Such functions may include but are not limited to: General Administration, Finances, Educational and Networking Programs, Communications, Membership, Certifications, Logistics, Seargent at Arms, and Technology.

The Board of Directors shall establish regular, periodic meetings which shall occur no less than once per year. During any such meetings, detailed notes will be taken to document the meeting content and, upon majority board approval of accuracy, shall be disseminated to the General Membership.

The governance of the organization contemplates the possibility of regional ALATAP chapters that may be established in the future. The formation of any such chapters shall be in accordance with the organization’s by laws and any SOPS created for the purpose of administering or supporting ALATAP’s goals. Formation of new chapters must meet with a majority approval of the governing board of directors and founders prior to being formally approved.

No part of these by laws is intended to conflict with local, state or federal legislation. In any case wherein a conflict is identified, the legislative document shall take precedence.

Article 7 – Membership
America Latina Association of Threat Assessment Professionals (ALATAP) will establish and maintain
membership standards, codes of conduct, fees, qualifications and approval process for their members or aspiring members. These processes may, in the sole direction of the Board of Directors, be changed periodically as needed to address the evolution and growth of the organization.

Article 8 – Capacities of Governing Board
All activities of the Board are carried out voluntarily and free of charge. The association has no commercial purpose and shall be non-profit. The work of the Governing Board is primarily done by circulating written documents. The Governing Board will come together on the initiative of the President, in case of his inability, it will be convened by one of the members of the Governing Board. The meeting of the Governing Board is chaired by the President. The decisions of the Governing Board are made upon simple majority; in case that a simple majority is not reached, the vote of the President is decisive. The members of the Governing Board can submit their resignation in written form at any time. In the event of a resignation of an elected member, the Governing Board has the right to appoint another member. The resignation of Board members will be effective after appointment/substitution by another member.

The Governing Board is responsible for leading the organization. It will fulfill all duties and responsibilities in support of the mission of the organization and in accordance with these By Laws. The Governing Board reports to both the Founders and General Membership. It also administers any property owned by the association. The board may delegate whole or parts of its administrative works. The President represents ALATAP to outside bodies. He may delegate his capacities to other members of the Governing Board.

Article 9 – Committees
The Governing Board of Directors may establish committees in charge of various topics. The members of the committee are appointed by the Governing Board. Each committee will have to name a person in charge charged to organize meetings and writing the annual reports.

Article 10 – Fiscal Accounting
The organization´s finances are overseen and administered by the Founder designated as Treasurer, or, in his absence the other founder. The founders may also designate other governing board member(s) who may be given responsibility for administering the organization’s funds. The accounting period begins January 1st and ends December 31st of each year.

Article 11 – Code of Conduct
The Board of Directors will document a Code of Conduct by which all members must abide. The Board of Directors will investigate any reports of suspected violation of the Code of Conduct. If such reports are substantiated, the Board is authorized to remediate the issue in any way that it deems appropriate, up to and including expulsion of the member in violation from the organization.

Article 12 – Delivery of the By-Laws
A copy of these By-Laws and the Code of Conduct will be given to each member of ALATAP at the time their membership is formalized. Communications will primarily be in the prevailing language of the country or region where the organization’s activities occur.

Article 13 – Dissolution
In the event of dissolution of association, the assets of the association will be given to an institution deploying a goal similar to that of ALATAP.
